You must not use any alias, pseudonym, or other way to mask your identity or business details.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company will rely upon the information provided in your Application, and any false information will be a basis to reject your Application or to terminate your status as an Affiliate without compensation if discovered after you are approved.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon acceptance into the Affiliate Program, Company will contact you notifying you of your acceptance. The contact l will include your Affiliate credentials as well as details about how to obtain your links to share, as well as other important information.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"commissions\">Commissions\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company will pay Affiliate a fee (a “Commission”), for each customer acquired as a result of a customer being referred to the Company using the unique tracking links assigned to the Affiliate (“Affiliate Links”). The tracking and attribution of sales to Affiliates based upon their tracking links is done automatically by the Company’s marketing automation system. Accordingly, Affiliate shall not be entitled to any Commission on a sale that is refunded, for which there is a chargeback, or for which the Company ultimately does not receive the sales proceeds as a result of credit card abuse or fraud.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company shall pay Commissions before the 10th of the following month. For example, commission earned in March will be paid before the 10th day of April. Commissions will only be made for customers that were not known to the Company prior to the promotion.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"taxes\">Payment Gateway and Taxes\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">It is Affiliate’s sole responsibility to provide the required information with his payment method where he is willing to receive the commission in a timely manner. No payments shall be made to Affiliate until such information is provided.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall be responsible for providing their necessary business information and banking details to facilitate the use of the payment method.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"warranties\">Representations and Warranties\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company represents and warrants:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Products/services offered in conjunction with the Affiliate program are legal within the Company’s jurisdiction;\u003C/li>\n\t\u003Cli>It intends to be bound by the mutual promises, terms and conditions of this Agreement;\u003C/li>\n\t\u003Cli>That it shall not intentionally or knowingly violate any law, regulation, or rule applicable to its business operations.\u003C/li>\n\t\u003Cli>That it has the necessary intellectual property and other rights to offer the products that are available for promotion under the Affiliate Program.\u003C/li>\n\u003C/ul>\n\n\u003Cp class=\"affiliate-p\">Affiliate represents and warrants:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>That Affiliate has read this Agreement, understands its terms and conditions, and agrees to be bound by this Agreement;\u003C/li>\n\t\u003Cli>That this Agreement constitutes Affiliate’s valid and binding agreement and was executed by a person with authority to bind the Affiliate;\u003C/li>\n\t\u003Cli>That Affiliate’s answers to the questions in the Application were truthful and accurate to the best of Affiliate’s knowledge;\u003C/li>\n\t\u003Cli>That Affiliate will comply with email marketing requirements including but not limited to CAN-SPAM, GDPR, and CA-SL.\u003C/li>\n\t\u003Cli>That Affiliate will not make use of the Company’s name, trademark, or service mark in any manner other than expressly allowed under the Affiliate Program;\u003C/li>\n\t\u003Cli>That Affiliate will not engage in any behaviour that violates the terms of this Agreement or that constitutes an attempt to fraudulently or deceptively increase the earnings of Affiliate under this Affiliate Program.\u003C/li>\n\u003C/ul>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"intellectual-property\">Promotional Materials, Limited License, and Intellectual Property\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">From time to time, the Company may make materials available to Affiliate for use in promoting the Company’s products (“Promotional Material”). The Promotional Material may include the Company’s logos, images of products that are part of the Affiliate Program, , button links, text links, and other graphic and textual material for use in Affiliate’s promotion efforts.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon acceptance into the Affiliate Program, the Company grants Affiliate a revocable, non-exclusive, worldwide, royalty-free license to use the Promotional Material during the term of this Agreement. The Affiliate may use the Promotional Material on its website, in emails, and in other promotional activities.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate may use any such Promotional Material solely for the purpose of promoting the Company’s products and/or for linking to the Company’s website. Affiliate may not make any other use of the Promotional Material and shall not state or imply that the Company has endorsed the Affiliate.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate agrees not to alter, add to, subtract from, or otherwise modify any of the Promotional Material provided by the Company without the express written consent of the Company. Moreover, Affiliate may not make any derivative works using the Promotional Materials.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"confidentiality\">Confidentiality\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not, directly or indirectly, use for his or her own benefit (other than to fulfill his or her obligations hereunder) or disclose to any third party any Confidential Information (as defined below) of Company without prior, written permission of Company in each instance.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Confidential Information means all non-public information of Company, including, without limitation, these Terms and Conditions, sales numbers or financial information, software passwords, customer lists, ideas, stories, curriculum, materials, presentation content, business strategies, plans or processes, marketing copy, customer financial or personal information, personal information of the Company staff, technical data, documentation or other similar information that is proprietary to and confidential information of Company.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">This Agreement imposes no obligation of confidentiality on Affiliate with regard to any portion of the Company’s Confidential Information (a) that is generally available to the public at the time of disclosure; (b) that becomes generally available to the public after the Promotion without any breach of this Agreement by Affiliate; or (c) that Affiliate can demonstrate by written records he or she had independently developed without any access to or usage of the Confidential Information.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">In the event Affiliate becomes or may become legally compelled to disclose any Confidential Information (whether by deposition, interrogatory, request for documents, subpoena, civil investigative demand or other process or otherwise), Affiliate shall provide to Company prompt prior written notice of such requirement so that Company may seek a protective order or other appropriate remedy and/or waive compliance with the terms of this Section. In the event that such protective order or other remedy is not obtained, or that Company waives compliance with the provisions hereof, Affiliate shall furnish only that portion of the Confidential Information which he or she is advised by counsel is legally required to be disclosed, and shall use his or her best efforts to ensure that confidential treatment shall be afforded such disclosed portion of the Confidential Information. In general, Affiliate may not disclose any financial, personal, or business information about Company or its staff (including Founder Nicki Sciberras) without permission from Company. Such disclosure is grounds for legal action, equitable relief, and termination of this Agreement.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"marketing-practices\">Acceptable And Non-Acceptable Marketing Practices\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall make available to all end-users an appropriate Privacy Policy that complies with all application of state, and local laws and requirements. The Privacy Policy shall be made available to users prior to the collection of any personally identifiable information, and shall clearly disclose all information collection, use, and sharing practices, including any collection of information in connection with the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not promote Company’s products: (1) in conjunction with any illegal activity, (2) on any illegal website, (3) in a manner that a reasonable person would consider threatening, harmful, defamatory, obscene, sexually explicit, harassing, or promoting violence; (4) in a manner that promotes discrimination, (5) in any manner the Company expressly deems as objectionable, or (6) in a manner that infringes upon the intellectual property or related rights held by any third party (7) inside of any The Digital Exchange’s managed Facebook groups.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate shall not make any claims, guarantees, representations, or warranties about the Company’s products, except as expressly authorized herein or in the Company’s Website Terms of Use.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"terms\">Term and Termination\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">This Agreement shall commence upon the date the Company notifies you that you have been accepted into the Affiliate Program and shall continue thereafter until terminated as provided herein.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company may terminate this Agreement in full or in part at any time and for any reason it deems appropriate with or without prior notice to you. In the event of termination, the Company will disable any tracking URLs, links, cookies, pixels, and similar mechanisms for use with the Affiliate Program. You may terminate this Agreement at any time upon notification to the Company in writing via email.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Upon termination, you shall immediately cease all use of the Promotional Materials and all of the Company’s intellectual property and will delete all copies of such materials in your possession. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"disclaimers\">Disclaimers\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Affiliate Program, any Promotional Material, and the products and services provided on connection therewith, are provided to Affiliate “as is.”\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Except as expressly set forth in this Agreement, the Company expressly disclaims to the maximum extent allowed by law, all warranties, express implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing, usage, or trade.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company does not warrant that the Affiliate Program or Promotional Materials will meet Affiliate’s specific requirements or that the materials are error free or uninterrupted.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company expressly disclaims any liability for any act or omission of any third-party provider not under the control of the Company, and their products and services.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Affiliate expressly agrees and understands that the Company has not made any guarantee that Affiliate will earn any specific amount of commissions and attests that no such representations or claims have been made.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"limitations-of-liability\">Limitation of Liability\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You agree to absolve and do hereby absolve the Company of any and all liability or loss that you or any person or entity associated with you may suffer or incur as a result of participation in the Affiliate Program and/or any information and resources contained in the Affiliate Program. You agree that the Company shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for participation in the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the maximum extent permitted by applicable law, in no event shall the Company be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the Affiliate Program, with the delay or inability to use the Affiliate Program or related service, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the Affiliate Program, or otherwise arising out of the use of the Affiliate Program, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Company or any of its suppliers has been advised of the possibility of damages. Because some States or other jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to You. If you are dissatisfied with the Affiliate Program or any portion of it, your sole and exclusive remedy is to terminate your participation in the Affiliate Program.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"arbitration\">Arbitration\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You hereby expressly waive any and all claims you may have, now or in the future, arising out of or relating to the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only through binding arbitration to occur in Bratislava, Slovakia. You further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims you and/or any entity related to you asserts against the Company. To the fullest extent permissible by law, you further agree that you shall be responsible for all costs associated with initiating the arbitration and for the administration of the arbitration.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"dispute-resolution\">Dispute Resolution\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You hereby expressly waive any and all claims you may have, now or in the future, arising out of or relating to the Affiliate Program.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">If there is any dispute, or if you are unhappy with the Services provided, please contact Us so that we can discuss. All costs associated with the dispute (including legal, mediation or arbitration fees), will be at the expense of the Affiliate.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only in the state or federal courts that are geographically nearest to Bratislava, Slovakia.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"choice-of-law\">Choice of Law\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">This Agreement shall be governed by and interpreted under the laws of the EU, without regard to any conflict of laws provisions.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"indemnities\">Indemnities\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable lawyers’ fees) relating to or arising out of: (a) Affiliate’s breach of any provision of this Agreement, including the representations and warranties, (b) any misuse, fraud, or deceptive conduct by Affiliate or any of its agents in connection with the Affiliate Program, and (c) any claims related to any promotional media created by Affiliate (excluding claims related to any Promotional Material provided by the Company).\u003C/p>\n\n\u003Cp class=\"affiliate-p\">The Company hereby agrees to indemnify, defend, and hold harmless Affiliate, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable lawyers’ fees) relating to or arising out of an allegation that the Company does not have the right to provide the Promotional Material or that the Promotional Materials violate a third-party’s rights.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"modification\">Modification\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">The Company may modify this Agreement at any time by providing Affiliate with notification of the proposed changes by email at Affiliate’s email address, but any such changes will not alter the Company’s obligation to Affiliate with respect to any previously-earned commissions. waiver thereof, nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party's workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or Sofern keine gesonderte Vereinbarung für die Bewerbung eines bestimmten Produkts getroffen wurde, gelten die Bedingungen dieser Vereinbarung für Ihre Teilnahme am Affiliate-Programm des Unternehmens.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Durch das Einreichen eines Antrags auf Teilnahme am Affiliate-Programm und/oder eine anderweitige Teilnahme am Affiliate-Programm erklären Sie sich ausdrücklich mit den in dieser Vereinbarung enthaltenen Bedingungen sowie mit allen Vereinbarungen, die sich auf einzelne Produkte von Omara Jewelry beziehen, einverstanden.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"application-and-acceptance\">Antrag und Annahme\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Um am Affiliate-Programm teilzunehmen, müssen Sie uns über die auf der Website von Omara Jewelry angegebenen Kontaktkanäle kontaktieren.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Für die Teilnahme am Affiliate-Programm müssen Sie dem Unternehmen Ihre tatsächliche Identität sowie weitere Kontaktinformationen sowie geschäftliche und bankbezogene Angaben zur Verfügung stellen. Es dürfen keine Aliasnamen, Pseudonyme oder andere Methoden zur Verschleierung Ihrer Identität oder Geschäftsdaten verwendet werden.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen verlässt sich auf die in Ihrem Antrag angegebenen Informationen. Falsche Angaben sind ein Grund für die Ablehnung Ihres Antrags oder für die Beendigung Ihres Affiliate-Status ohne Entschädigung, falls sie nach Ihrer Annahme festgestellt werden.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Nach der Annahme in das Affiliate-Programm wird das Unternehmen Sie kontaktieren und Sie über Ihre Aufnahme informieren. Die Kontaktaufnahme enthält Ihre Affiliate-Zugangsdaten sowie Details dazu, wie Sie Ihre Empfehlungslinks erhalten und weitere wichtige Informationen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"commissions\">Provisionen\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen zahlt dem Affiliate-Partner eine Gebühr („Provision“) für jeden Kunden, der aufgrund einer Empfehlung durch die dem Affiliate-Partner zugewiesenen einzigartigen Tracking-Links („Affiliate-Links“) gewonnen wurde. Die Verfolgung und Zuordnung von Verkäufen zu den Affiliate-Partnern basierend auf ihren Tracking-Links erfolgt automatisch durch das Marketing-Automatisierungssystem des Unternehmens. Dementsprechend ist der Affiliate nicht berechtigt, eine Provision für Verkäufe zu erhalten, die zurückgegeben wurden, für die eine Rückbuchung erfolgte oder für die das Unternehmen letztendlich keine Verkaufserlöse aufgrund von Kreditkartenmissbrauch oder Betrug erhält.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen zahlt die Provisionen vor dem 10. Tag des Folgemonats aus. Beispielsweise wird die im März verdiente Provision vor dem 10. April ausgezahlt. Provisionen werden nur für Kunden ausgezahlt, die dem Unternehmen vor Beginn der Werbemaßnahmen nicht bekannt waren.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"taxes\">Zahlungsabwicklung und Steuern\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Es liegt in der alleinigen Verantwortung des Affiliate-Partners, die erforderlichen Informationen zu seiner bevorzugten Zahlungsmethode rechtzeitig bereitzustellen, um Provisionen zu erhalten. Keine Zahlungen werden an den Affiliate ausgezahlt, bis diese Informationen bereitgestellt wurden.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate ist dafür verantwortlich, die erforderlichen geschäftlichen und bankbezogenen Angaben bereitzustellen, um die Nutzung der Zahlungsmethode zu erleichtern.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"warranties\">Erklärungen und Garantien\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen erklärt und garantiert:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Die im Zusammenhang mit dem Affiliate-Programm angebotenen Produkte/Dienstleistungen sind im Zuständigkeitsbereich des Unternehmens legal;\u003C/li>\n\t\u003Cli>Es beabsichtigt, sich an die gegenseitigen Versprechen, Bedingungen und Bestimmungen dieser Vereinbarung zu halten;\u003C/li>\n\t\u003Cli>Es wird wissentlich oder vorsätzlich keine Gesetze, Vorschriften oder Regeln verletzen, die für seine Geschäftstätigkeit gelten;\u003C/li>\n\t\u003Cli>Es besitzt die erforderlichen geistigen Eigentumsrechte und sonstigen Rechte zur Vermarktung der im Rahmen des Affiliate-Programms verfügbaren Produkte.\u003C/li>\n\u003C/ul>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate erklärt und garantiert:\u003C/p>\n\n\u003Cul>\n\t\u003Cli>Dass er diese Vereinbarung gelesen hat, ihre Bedingungen versteht und sich damit einverstanden erklärt, an diese Vereinbarung gebunden zu sein;\u003C/li>\n\t\u003Cli>Dass diese Vereinbarung eine gültige und verbindliche Vereinbarung für den Affiliate darstellt und von einer Person unterzeichnet wurde, die befugt ist, den Affiliate zu binden;\u003C/li>\n\t\u003Cli>Dass die Antworten des Affiliate auf die Fragen im Antrag nach bestem Wissen und Gewissen wahrheitsgemäß und genau waren;\u003C/li>\n\t\u003Cli>Dass der Affiliate die Anforderungen an E-Mail-Marketing einhalten wird, einschließlich, aber nicht beschränkt auf CAN-SPAM, DSGVO und CA-SL;\u003C/li>\n\t\u003Cli>Dass der Affiliate den Namen, die Marke oder das Warenzeichen des Unternehmens nicht in einer Weise verwenden wird, die im Rahmen des Affiliate-Programms nicht ausdrücklich erlaubt ist;\u003C/li>\n\t\u003Cli>Dass der Affiliate keine Handlungen vornimmt, die gegen die Bedingungen dieser Vereinbarung verstoßen oder einen Versuch darstellen, die Einnahmen des Affiliate-Partners im Rahmen dieses Affiliate-Programms auf betrügerische oder irreführende Weise zu steigern.\u003C/li>\n\u003C/ul>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"intellectual-property\">Werbematerialien, eingeschränkte Lizenz und geistiges Eigentum\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen kann dem Affiliate gelegentlich Materialien zur Verfügung stellen, die zur Bewerbung der Produkte des Unternehmens verwendet werden können („Werbematerialien“). Diese Werbematerialien können Unternehmenslogos, Produktbilder aus dem Affiliate-Programm, Buttons, Textlinks sowie andere grafische und textbasierte Materialien für die Werbeaktivitäten des Affiliates umfassen.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Nach der Aufnahme in das Affiliate-Programm gewährt das Unternehmen dem Affiliate eine nicht-exklusive, widerrufliche, weltweite und gebührenfreie Lizenz zur Nutzung der Werbematerialien für die Dauer dieser Vereinbarung. Der Affiliate darf die Werbematerialien auf seiner Website, in E-Mails und in anderen Werbeaktivitäten verwenden.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate darf diese Werbematerialien ausschließlich zur Bewerbung der Produkte des Unternehmens und/oder zur Verlinkung auf die Website des Unternehmens verwenden. Der Affiliate darf die Werbematerialien nicht anderweitig nutzen und nicht behaupten oder andeuten, dass das Unternehmen den Affiliate ausdrücklich genehmigt oder unterstützt.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate stimmt zu, dass er keine Änderungen, Ergänzungen, Streichungen oder sonstigen Modifikationen an den vom Unternehmen bereitgestellten Werbematerialien ohne die ausdrückliche schriftliche Genehmigung des Unternehmens vornehmen wird. Darüber hinaus darf der Affiliate keine abgeleiteten Werke unter Verwendung der Werbematerialien erstellen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"confidentiality\">Vertraulichkeit\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate darf vertrauliche Informationen (wie unten definiert) des Unternehmens weder direkt noch indirekt für seinen eigenen Vorteil nutzen (außer zur Erfüllung seiner Verpflichtungen aus dieser Vereinbarung) noch sie ohne vorherige schriftliche Genehmigung des Unternehmens an Dritte weitergeben.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Vertrauliche Informationen sind alle nicht offengelegten Informationen des Unternehmens, einschließlich, aber nicht beschränkt auf diese Geschäftsbedingungen, Verkaufszahlen oder Finanzinformationen, Softwarepasswörter, Kundenlisten, Ideen, Konzepte, Lehrpläne, Materialien, Präsentationsinhalte, Geschäftsstrategien, Pläne oder Prozesse, Marketingtexte, finanzielle oder persönliche Kundendaten, persönliche Informationen von Unternehmensmitarbeitern, technische Daten, Dokumentationen oder andere ähnliche Informationen, die sich im Besitz des Unternehmens befinden und als vertraulich gelten.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Diese Vereinbarung verpflichtet den Affiliate nicht zur Vertraulichkeit in Bezug auf vertrauliche Informationen des Unternehmens, (a) die zum Zeitpunkt der Offenlegung öffentlich zugänglich sind; (b) die ohne Verstoß des Affiliates gegen diese Vereinbarung öffentlich werden; oder (c) die der Affiliate durch schriftliche Aufzeichnungen nachweisen kann, dass er sie unabhängig und ohne Zugriff oder Nutzung der vertraulichen Informationen entwickelt hat.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Falls der Affiliate gesetzlich dazu verpflichtet wird, vertrauliche Informationen offenzulegen (z. B. durch Zeugenaussagen, Verhöre, Dokumentenanforderungen, Vorladungen, zivilrechtliche Ermittlungsanordnungen oder andere rechtliche Verfahren), muss er das Unternehmen unverzüglich schriftlich über diese Anforderung informieren, damit das Unternehmen Schutzmaßnahmen oder andere geeignete Rechtsmittel ergreifen kann. Falls ein solcher Schutz nicht erreicht werden kann oder das Unternehmen auf die Einhaltung dieser Bestimmungen verzichtet, wird der Affiliate nur denjenigen Teil der vertraulichen Informationen offenlegen, den sein Rechtsbeistand als rechtlich erforderlich erachtet, und sich nach besten Kräften bemühen, sicherzustellen, dass die offengelegten Informationen vertraulich behandelt werden. Generell gilt, dass der Affiliate keine finanziellen, persönlichen oder geschäftlichen Informationen über das Unternehmen oder dessen Mitarbeiter (einschließlich des Gründers Nicki Sciberras) ohne Genehmigung des Unternehmens offenlegen darf. Eine solche Offenlegung kann rechtliche Schritte, eine einstweilige Verfügung sowie die Beendigung dieser Vereinbarung nach sich ziehen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"marketing-practices\">Akzeptable und inakzeptable Marketingpraktiken\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate muss allen Endnutzern eine angemessene Datenschutzrichtlinie zur Verfügung stellen, die mit allen geltenden staatlichen und lokalen Gesetzen und Anforderungen übereinstimmt. Die Datenschutzrichtlinie muss den Nutzern vor der Erhebung personenbezogener Daten zugänglich gemacht werden und muss alle Praktiken bezüglich der Erhebung, Nutzung und Weitergabe von Informationen klar offenlegen, einschließlich jeglicher Datensammlung im Zusammenhang mit dem Affiliate-Programm.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate darf die Produkte des Unternehmens nicht: (1) in Verbindung mit illegalen Aktivitäten, (2) auf illegalen Websites, (3) in einer Weise, die von einer vernünftigen Person als bedrohlich, schädlich, anstößig, obszön, sexuell explizit, belästigend oder gewaltverherrlichend angesehen wird; (4) in einer Weise, die Diskriminierung fördert, (5) auf eine Weise, die das Unternehmen ausdrücklich für inakzeptabel hält, oder (6) auf eine Weise, die geistiges Eigentum oder verwandte Rechte Dritter verletzt; (7) in Facebook-Gruppen, die von The Digital Exchange verwaltet werden.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate darf keine Aussagen, Garantien oder Zusicherungen bezüglich der Produkte des Unternehmens machen, außer denjenigen, die ausdrücklich in dieser Vereinbarung oder in den Nutzungsbedingungen der Website des Unternehmens erlaubt sind.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"terms\">Dauer und Beendigung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Diese Vereinbarung tritt an dem Tag in Kraft, an dem das Unternehmen den Affiliate darüber informiert, dass er in das Affiliate-Programm aufgenommen wurde, und wird fortgesetzt, bis sie gemäß den Bestimmungen dieser Vereinbarung beendet wird.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen kann diese Vereinbarung jederzeit und aus beliebigem Grund insgesamt oder teilweise beenden, mit oder ohne vorherige Benachrichtigung. Im Falle der Beendigung wird das Unternehmen alle Tracking-URLs, Links, Cookies, Pixel und ähnliche Mechanismen, die im Affiliate-Programm verwendet werden, deaktivieren. Der Affiliate kann diese Vereinbarung jederzeit kündigen, indem er das Unternehmen schriftlich per E-Mail benachrichtigt.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Nach der Beendigung der Vereinbarung muss der Affiliate unverzüglich die Nutzung aller Werbematerialien und sämtlichen geistigen Eigentums des Unternehmens einstellen und alle Kopien dieser Materialien, die er besitzt, entfernen. Darüber hinaus muss der Affiliate sofort aufhören, sich als Teilnehmer des Affiliate-Programms darzustellen.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate hat Anspruch auf alle gültigen Provisionen, die er vor der Beendigung dieser Vereinbarung verdient hat.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"relationships\">Natur der Beziehung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Die Beziehung zwischen den Parteien ist die eines unabhängigen Auftragnehmers. Nichts in dieser Vereinbarung wird so ausgelegt, dass es eine Agentur-, Partnerschafts-, Joint-Venture- oder eine andere Art von Partnerschaft, Arbeits- oder Treuhandverhältnis zwischen den Parteien schafft, und keine Partei hat das Recht, Verträge zu schließen oder die andere Partei in irgendeiner Weise zu binden.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"disclaimers\">Haftungsausschlüsse\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Affiliate-Programm, alle Werbematerialien und die Produkte und Dienstleistungen, die im Zusammenhang damit bereitgestellt werden, werden dem Affiliate „wie sie sind“ zur Verfügung gestellt.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Abgesehen von den ausdrücklich in dieser Vereinbarung genannten Bestimmungen schließt das Unternehmen alle Garantien, ausdrücklichen, stillschweigenden oder gesetzlichen Garantien, soweit gesetzlich zulässig, aus, einschließlich, aber nicht beschränkt auf stillschweigende Garantien der Marktgängigkeit, Eignung für einen bestimmten Zweck und Nichtverletzung von Rechten sowie alle Garantien, die sich aus Geschäftsgepflogenheiten, Nutzung oder Handel ergeben.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen garantiert nicht, dass das Affiliate-Programm oder die Werbematerialien die spezifischen Anforderungen des Affiliates erfüllen oder dass die Materialien fehlerfrei oder ohne Unterbrechungen sind.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen schließt ausdrücklich jede Haftung für Handlungen oder Unterlassungen von Drittanbietern aus, die nicht unter der Kontrolle des Unternehmens stehen, sowie für deren Produkte und Dienstleistungen.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Der Affiliate stimmt ausdrücklich zu und versteht, dass das Unternehmen keine Garantie dafür gegeben hat, dass der Affiliate eine bestimmte Provisionssumme verdienen wird, und bestätigt, dass keine solchen Aussagen oder Zusicherungen gemacht wurden.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"limitations-of-liability\">Haftungsbeschränkung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Sie stimmen zu, das Unternehmen von jeglichen Verpflichtungen oder Verlusten freizustellen, die Sie oder eine Person oder Entität, die mit Ihnen verbunden ist, aufgrund der Teilnahme am Affiliate-Programm und/oder von Informationen und Ressourcen, die im Affiliate-Programm enthalten sind, erleiden oder tragen könnten. Sie stimmen zu, dass das Unternehmen nicht für irgendwelche Schäden haftet, einschließlich direkter, indirekter, spezieller, zufälliger, fairer oder Folgeschäden, die durch die Teilnahme am Affiliate-Programm entstehen.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Soweit gesetzlich zulässig, haftet das Unternehmen in keinem Fall für irgendwelche direkten, indirekten, strafrechtlichen, zufälligen, speziellen, Folgeschäden oder für Schäden jeglicher Art, einschließlich, aber nicht beschränkt auf Schäden aufgrund von Nutzungsausfällen, Datenverlusten oder entgangenem Gewinn, die entstehen oder irgendwie mit der Nutzung oder Leistung des Affiliate-Programms, Verzögerungen oder der Unfähigkeit zur Nutzung des Affiliate-Programms oder der zugehörigen Dienste, der Bereitstellung oder Nichtbereitstellung von Dienstleistungen oder von Informationen, Software, Produkten, Dienstleistungen und zugehörigen Grafiken, die durch das Affiliate-Programm erhalten werden oder anderweitig durch die Nutzung des Affiliate-Programms entstehen, in Verbindung mit einem Vertrag, Delikt, Fahrlässigkeit, verschuldensunabhängiger Haftung oder anderweitig, auch wenn das Unternehmen oder ein Anbieter des Unternehmens über die Möglichkeit von Schäden informiert wurde. Da einige Staaten oder andere Rechtsordnungen den Ausschluss oder die Beschränkung der Haftung für Folgeschäden oder Zufallsschäden nicht zulassen, gilt diese Einschränkung möglicherweise nicht für Sie. Wenn Sie mit dem Affiliate-Programm oder einem Teil davon nicht zufrieden sind, ist Ihr einziges und exklusives Rechtsmittel, Ihre Teilnahme am Affiliate-Programm zu beenden.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"arbitration\">Schiedsverfahren\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Sie verzichten ausdrücklich auf jegliche Ansprüche, die Sie jetzt oder in der Zukunft haben könnten, die sich aus oder im Zusammenhang mit dem Affiliate-Programm ergeben.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Soweit Sie versuchen, einen solchen Anspruch geltend zu machen, stimmen Sie ausdrücklich zu, diesen Anspruch ausschließlich durch verbindliche Schiedsgerichtsbarkeit zu verhandeln, die in Bratislava, Slowakei, durchgeführt wird. Soweit gesetzlich zulässig, stimmen Sie weiterhin zu, dass Sie für alle Kosten im Zusammenhang mit der Einleitung des Schiedsverfahrens und der Verwaltung des Schiedsverfahrens verantwortlich sind.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"dispute-resolution\">Streitbeilegung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Sie verzichten ausdrücklich auf jegliche Ansprüche, die Sie jetzt oder in der Zukunft haben könnten, die sich aus oder im Zusammenhang mit dem Affiliate-Programm ergeben.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Falls ein Streit entsteht oder Sie mit den bereitgestellten Dienstleistungen unzufrieden sind, kontaktieren Sie uns, damit wir darüber sprechen können. Beide Parteien werden ihr Bestes tun, um einen Streit, der sich aus dieser Vereinbarung oder im Zusammenhang mit ihr ergibt, durch gute Geschäftsgespräche mit der anderen Partei zu lösen.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Falls der Streit nicht einvernehmlich gelöst werden kann, werden sich die Parteien auf eine Mediation einigen und den Streit an einen unabhängigen Mediator verweisen, mit dem sie sich verständigen, und alle Möglichkeiten nutzen, um den Streit durch Mediation zu lösen. Alle Kosten im Zusammenhang mit Streitigkeiten (einschließlich rechtlicher, Mediations- oder Schiedsgebühren) trägt der Affiliate.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Soweit Sie versuchen, einen solchen Anspruch geltend zu machen, stimmen Sie ausdrücklich zu, diesen Anspruch ausschließlich vor den staatlichen oder Bundesgerichten, die geografisch am nächsten zu Bratislava, Slowakei, gelegen sind, einzureichen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"choice-of-law\">Wahl des Rechts\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Diese Vereinbarung unterliegt und wird in Übereinstimmung mit dem Recht der EU ausgelegt, ungeachtet etwaiger Bestimmungen des internationalen Privatrechts.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"indemnities\">Schadensersatz\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Sie stimmen zu, das Unternehmen, seine Geschäftsführer, Direktoren, Mitarbeiter, Vertreter und Dritte von jeglichen Verlusten, Kosten, Verbindlichkeiten und Ausgaben (einschließlich angemessener Anwaltsgebühren) freizustellen, zu verteidigen und zu schützen, die sich aus oder im Zusammenhang mit: (a) der Verletzung einer Bestimmung dieser Affiliate-Vereinbarung, einschließlich der Erklärungen und Garantien, (b) dem Missbrauch, Betrug oder irreführendem Verhalten des Affiliates oder eines seiner Vertreter im Zusammenhang mit dem Affiliate-Programm, und (c) Ansprüchen im Zusammenhang mit jeglichen Werbemedien, die vom Affiliate erstellt wurden (mit Ausnahme von Ansprüchen im Zusammenhang mit Werbematerialien, die vom Unternehmen bereitgestellt wurden), ergeben.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen stimmt zu, den Affiliate, seine Geschäftsführer, Direktoren, Mitarbeiter, Vertreter und Dritte von jeglichen Verlusten, Kosten, Verbindlichkeiten und Ausgaben (einschließlich angemessener Anwaltsgebühren) freizustellen, zu verteidigen und zu schützen, die sich aus oder im Zusammenhang mit der Behauptung ergeben, dass das Unternehmen nicht berechtigt ist, Werbematerialien bereitzustellen oder dass die Werbematerialien die Rechte Dritter verletzen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"modification\">Änderung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen kann diese Vereinbarung jederzeit ändern, indem es dem Affiliate vorgeschlagene Änderungen per E-Mail an die E-Mail-Adresse des Affiliates mitteilt. Solche Änderungen haben jedoch keine Auswirkungen auf die Verpflichtungen des Unternehmens gegenüber dem Affiliate in Bezug auf zuvor verdiente Provisionen. Alle Änderungen treten zehn (10) Arbeitstage nach der Mitteilung in Kraft.\u003C/p>\n\n\u003Cp class=\"affiliate-p\">Wenn vorgeschlagene Änderungen für Sie nicht akzeptabel sind, können Sie diese Vereinbarung gemäß den oben genannten Kündigungsbedingungen beenden. Durch die Fortsetzung der Teilnahme am Programm erklären Sie sich mit diesen Änderungen einverstanden und stimmen der Anpassung dieser Vereinbarung zu.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"entire-agreement\">Gesamtvereinbarung\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Diese Vereinbarung stellt die gesamte Vereinbarung zwischen Ihnen und dem Unternehmen im Zusammenhang mit dem Affiliate-Programm dar und ersetzt alle vorherigen oder aktuellen Kommunikation und Vorschläge, sei es elektronisch, mündlich oder schriftlich, zwischen Ihnen und dem Unternehmen im Zusammenhang mit dem Affiliate-Programm. Eine gedruckte Version dieser Vereinbarung und alle Benachrichtigungen, die in elektronischer Form bereitgestellt werden, sind in gerichtlichen oder administrativen Verfahren, die auf dieser Vereinbarung beruhen oder damit in Zusammenhang stehen, genauso zulässig wie andere Geschäftsunterlagen und Aufzeichnungen, die ursprünglich in gedruckter Form erstellt und aufbewahrt wurden.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"severability\">Salvatorische Klausel\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Sollte eine Bestimmung dieser Vereinbarung von einem Gericht einer zuständigen Jurisdiktion als ungültig, illegal oder nicht durchsetzbar in irgendeiner Jurisdiktion befunden werden, so wird die Ungültigkeit, Illegalität oder Nichtdurchsetzbarkeit keine andere Bestimmung dieser Vereinbarung beeinträchtigen und die Gültigkeit oder Durchsetzbarkeit dieser Bestimmung in einer anderen Jurisdiktion nicht beeinflussen.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"waiver\">Verzicht auf Rechte\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Ein Verzicht auf Rechte einer Partei bezüglich einer Bestimmung dieser Vereinbarung ist nur dann wirksam, wenn er ausdrücklich schriftlich erklärt und von der Partei, die auf das Recht verzichtet, unterzeichnet wurde. Abgesehen von den in dieser Vereinbarung genannten Fällen wird keine Nichtausübung oder Verzögerung bei der Ausübung eines Rechts, einer Befugnis, einer Macht oder eines Privilegs aus dieser Vereinbarung als Verzicht auf diese Rechte betrachtet, noch hindert die teilweise oder einzelne Ausübung eines Rechts, einer Befugnis, einer Macht oder eines Privilegs im Rahmen dieser Vereinbarung die weitere Ausübung dieser Rechte oder die Ausübung eines anderen Rechts, einer anderen Befugnis, Macht oder Privilegs.\u003C/p>\n\n\u003Ch2 class=\"affiliate-h2\" id=\"force-majeure\">Höhere Gewalt\u003C/h2>\n\n\u003Cp class=\"affiliate-p\">Das Unternehmen haftet nicht und wird nicht als Vertragsverletzer betrachtet, wenn es zu einem Ausfall oder einer Verzögerung bei der Erfüllung einer Bestimmung dieser Vereinbarung kommt, wenn und insofern ein solcher Ausfall oder eine Verzögerung durch Ereignisse oder Umstände verursacht wird, die außerhalb der angemessenen Kontrolle des Unternehmens liegen, einschließlich, aber nicht beschränkt auf höhere Gewalt, Überschwemmungen, Brände, Erdbeben, Explosionen, Regierungsmaßnahmen, Kriege, Invasionen oder feindliche Aktionen (ob Krieg erklärt wurde oder nicht), terroristische Bedrohungen oder Taten, Aufstände oder andere zivile Unruhen, nationale Notstände, Revolutionen, Aufstände, Epidemien, Streiks oder andere Arbeitskämpfe
